These terms govern access to the SPPT website, demo console, APIs and any payment-orchestration service activated under a separate commercial agreement. They also explain where SPPT's role ends and a regulated partner's responsibility begins.

Merchant funds, collection accounts, virtual accounts, FX conversion, execution and settlement remain with the applicable licensed bank or payment partner.
International services depend on partner approval, permitted goods or services, KYB/KYC, purpose codes, documents, sanctions checks, FEMA requirements and corridor availability.
These Terms & Conditions ("Terms") form an agreement between you and SAMHARA PAYINGPATH PRIVATE LIMITED, operating the SPPT brand ("SPPT", "we", "us" or "our"). They apply to the SPPT website, console, sandbox, APIs, documentation, support and related technology services (together, the "Platform").
By accessing or using the Platform, creating an account, or accepting these Terms electronically, you confirm that you have read and agree to them. A signed order form, merchant service agreement, partner terms, pricing schedule or product addendum may also apply. If there is a conflict, the signed commercial document controls for the relevant service.
The currently published console is a demonstration environment. Do not enter real KYC documents, bank credentials, beneficiary information or payment instructions. No displayed credential, account, quote, transaction or settlement is real.
The Platform is intended for lawful business use by persons aged 18 or older. If you act for a company, partnership, proprietorship, trust or other organisation, you represent that you are authorised to bind it and to provide the information and instructions submitted through the Platform.
You must provide accurate information, keep it current, protect your credentials and multi-factor authentication methods, and promptly report suspected unauthorised access. Actions performed through your authorised users, API keys or configured integrations may be treated as your instructions. You are responsible for assigning appropriate roles and removing access when a user no longer requires it.
SPPT provides a technology and operational orchestration layer. This may include merchant onboarding workflows, API connectivity, payment instruction capture, maker-checker approvals, fraud-risk signals, transaction status, reconciliation, reports and support.
Unless SPPT separately obtains and discloses the required regulatory authorisation, regulated payment services are provided by the applicable bank, payment aggregator, authorised dealer bank, PA-CB or other licensed partner. That partner retains control of fund custody, regulated due diligence, AML and sanctions decisions, virtual or collection accounts, FX conversion, execution, settlement and final transaction status. SPPT does not hold merchant or customer funds under this operating model.
Access to live products is subject to SPPT and partner onboarding. You must provide complete, current and authentic business, ownership, director, authorised-signatory, bank-account, tax PAN, GSTIN, identity and supporting information requested for the selected product. You authorise verification of that information with approved service providers, registries and regulated partners where permitted by law.
SPPT may store tax PAN, PAN verification results and other required KYB/KYC records for onboarding, periodic review, audit, fraud prevention and partner or legal requirements. These records are subject to masking, restricted access, security logging and the retention rules described in the Privacy Policy. Tax PAN is not the same as the Primary Account Number printed on a payment card.
Approval for one product, country or corridor does not guarantee approval for another. SPPT or a partner may request additional information, apply limits, delay activation, reject an application or conduct periodic re-verification.
Domestic pay-in and payout features are available only after the relevant partner activates them. Collection methods, beneficiary validation, settlement timing, refunds, chargebacks, payout limits, reversals and reconciliation outcomes are governed by partner rules, banking cut-offs, network availability and applicable law.
If card pay-ins are activated, the approved checkout and its connected systems will operate within the applicable PCI DSS scope. Actual reusable card-on-file credentials must remain with permitted card issuers, card networks or token service providers. SPPT may retain only permitted tokenised, masked or limited transaction-tracking data and will not retain CVV/CVC, PIN, PIN block, OTP or other sensitive authentication data after authorisation.
Card collection and payout funding are separate workflows. Card proceeds are processed and settled through the regulated acquiring or payment partner, while payouts are made only against a partner-reported available prefunded balance. A direct card-to-cash, card-funded payout or cash-withdrawal facility is not available unless separately approved and activated by the relevant bank, acquirer and card network and permitted by applicable law. PCI DSS compliance alone does not authorise such a product.
Where payout prefunding is supported, the partner may issue a virtual account and accept funds only from approved source accounts. Funds must be transferred directly to the partner-controlled account. SPPT may display a partner-reported available, reserved or held balance, but that display is not a bank statement and does not mean SPPT holds the funds. Credits from non-whitelisted sources may be held, rejected or returned under partner rules.
Cross-border pay-ins and payouts are limited to partner-supported countries, currencies, transaction types and permissible goods or services. You must provide accurate payer or beneficiary details, invoices, purpose codes, source-of-funds or source-of-wealth information and other supporting documents when requested.
The authorised partner decides whether a transaction satisfies FEMA, foreign-trade, AML, sanctions and corridor requirements. Indicative FX rates are not binding until accepted and confirmed by the partner. Rates, fees and settlement values may change before confirmation. Payments may be delayed, held, rejected, returned or reported to an authority when required. SPPT does not guarantee corridor availability, regulatory approval, delivery time or a particular FX rate.
You are responsible for reviewing every payment instruction, beneficiary, amount, currency, account identifier and purpose before authorisation. SPPT and its partners may rely on an instruction submitted through an authorised account or integration. An instruction may be irrevocable after acceptance by the executing partner. Platform status, webhook and reconciliation data are based on partner or network information and may be corrected when later information is received.
Fees, FX margins, taxes, reserves and settlement deductions are set out in the applicable commercial agreement or partner schedule. You are responsible for applicable taxes, duties and statutory filings. SPPT may invoice software, onboarding, integration, support, reconciliation or other agreed service fees separately from fees charged by regulated partners.
You must not use the Platform to:
You remain responsible for your goods and services, customer communications, refunds, returns, taxes, invoices, licences, regulatory obligations and disputes unless a signed agreement states otherwise.
Fraud Shield and other controls provide risk indicators, rules and workflow recommendations; they do not guarantee that fraud will be prevented or that a transaction is lawful. SPPT or a partner may allow, review, hold or block activity, request evidence or impose limits. Final regulated AML and sanctions decisions remain with the authorised partner.
SPPT will apply PCI DSS to any environment that stores, processes or transmits payment account data. Merchants and authorised users must use only the approved card-capture flow and must not send card credentials through SPPT forms, APIs not designated for card capture, email, chat or support tickets.
The Platform may link or redirect you to lenders, retailers, affiliate networks or other third parties. Their products, eligibility, pricing, underwriting, checkout, delivery, returns and terms are controlled by them. SPPT does not make a credit decision or become a lender merely by providing a referral.
For affiliate rewards, tracking may require the purchase to be completed in the same uninterrupted browsing session. Estimated commission or cashback remains pending through the retailer's return period and becomes payable only after the affiliate partner validates and settles the commission to SPPT. Returns, cancellations, exclusions, failed tracking or partner rejection may reduce the reward to zero. The applicable SPPT commission split is shown before redirect where available.
Our processing of personal data is described in the SPPT Privacy Policy. Each party must protect the other party's non-public business, technical and commercial information and use it only for the agreed purpose, except where disclosure is required by law or an authorised partner.
The Platform may be unavailable because of maintenance, security events, banking or network downtime, partner changes or events beyond reasonable control. Features, APIs, limits, corridors and partners may change. We will provide notice of material changes where reasonably practicable, but urgent security or compliance changes may take effect immediately.
SPPT may restrict, suspend or terminate access where information is inaccurate, fees are overdue, security is compromised, activity creates legal or partner risk, these Terms are breached, or a partner or authority requires it. Termination does not cancel completed obligations, lawful retention, outstanding fees, disputes or rights that by nature survive termination.
SPPT and its licensors own the Platform, software, documentation, designs, trademarks and related intellectual property. Subject to these Terms and the applicable agreement, SPPT grants you a limited, non-exclusive, non-transferable right to use the activated services for your internal business operations. You retain ownership of your data and grant SPPT the rights needed to operate and support the service.
Sandbox features are provided for evaluation and must not be relied on for real transactions. To the extent permitted by law, the Platform is provided on an "as available" basis and SPPT disclaims implied warranties that cannot reasonably apply to the agreed service.
SPPT is not responsible for a third party's credit decision, product, banking network, FX rate, compliance decision, settlement, retailer fulfilment or affiliate attribution. Liability for live services is governed by the signed commercial agreement. Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.
To the extent permitted by law and the applicable commercial agreement, you will indemnify SPPT against third-party claims, losses or regulatory costs arising from your unlawful activity, inaccurate information, unauthorised instructions, breach of these Terms or violation of another person's rights.
These Terms are governed by the laws of India. The dispute process and jurisdiction in a signed commercial agreement will apply. Where no signed agreement applies, courts having jurisdiction over SPPT's registered office will have exclusive jurisdiction, subject to any mandatory dispute or consumer remedy available under applicable law.
